I was not aware of any engine differences. The Sport exhaust and I believe a different rear-end ratio - but I think the engine is the same.
Now the M5 was a different thing all together...

Here is my 2 cents: The M Packages is simply an option, if you want a real M get an M5.
The engines were the same, no differences.
The sports seat is the thing I most like about the M packages. Honestly, I can't give up my heated steering for the 3 spoke non heated sport steering wheel.
Yes, there were some suspension tweeks for the later Ms but honestly with the age of the car now are they relevant? Performance wise, updating with the right aftermarket spring/shock package on any of the E39s will probable yield equal or better handling.
It comes down to the trim and badging, with M badging cheap on ebay, you decide if the M Sport is worth it or not.... it's you money.

2002
For 2002, BMW Steptronic-equipped E39s had their manual shift direction switched to match BMW's SMG (forwards to downshift, backwards to upshift). Also, in 2002 the 540i V8 32V engine power was increased from 210 kW (282 hp) to 216 kW (290 hp) while torque remained the same. All models got a standard in-dash CD player, 6-cylinder models added a standard power passenger seat, and the 525i received automatic climate control standard.[14] Consumer Reports declared the 2002 BMW E39 the best car they had ever reviewed.

When I was last shopping, 540 M sports weren't that hard to find.... But if you wanted one with a STICK - now that was tougher.
I was lucky to stumble on an M5 for a great price.

I know I'm late, but this is not true.
Let talk about the 6 speed M62TU engine 540i/6 (DN53) for now.
There were 2 versions. Regular 540i which came standard with a "sport" package and an M Sport Package, option P337A. The P337A package came with M sports suspension II, M sports steering wheel, M Aerodynamics package).
M Sport Package P337A came to Canada for the 2002 MY. The first car was built on September 1, 2001.
M Sport came to US for the 2003 MY, however one pre-production test car was sold to the public which has a 2002 built date.
All 2003 US cars are M Sport. Canada on the other hand got 23 non-M Sport packaged cars and 51 M Sports in 2003.

97' 6spd is still more reliable and faster than 03 M-tech 6spd. 0.2 sec difference @ 1/4 mile times too, by factory specs.
